Cotti Terms of Service

By creating a Cotti account, clicking "Accept" or using the Service in any way, you represent that:

• You have read, understood and accepted these Terms in their entirety.
• You are at least 18 years old or the legal age of majority in your jurisdiction.
• You have the legal capacity to enter into binding contracts.
• If you are using the Service on behalf of a company or organisation, you have the authority to bind that entity to these Terms.

Cotti is a software-as-a-service (SaaS) web application designed for creating, managing and sending professional quotations. Core features include:

• Creation and customisation of quotations.
• Management of product and service catalogues.
• Generation of professional PDF documents.
• Sharing quotations via email, WhatsApp and other channels.
• Team management and collaboration (depending on the plan subscribed).

We reserve the right to modify, suspend or discontinue, temporarily or permanently, any aspect of the Service, with or without prior notice, without incurring liability.

To access certain features of the Service, you must create an account by providing truthful, accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials (username and password).
• All activities that occur under your account, whether authorised or not.
• Notifying us immediately of any unauthorised use of your account or security breach at legal@sideops.tech.
• Ensuring you log out at the end of each session, especially on shared devices.

We reserve the right to suspend or terminate accounts that contain false, incomplete information or that violate these Terms.

By using Cotti, you agree to:

• Not use the Service for illegal, fraudulent or unauthorised purposes.
• Not infringe the intellectual property rights of third parties.
• Not upload, transmit or distribute viruses, malware or any malicious code.
• Not attempt unauthorised access to servers, systems or networks related to the Service.
• Not reverse engineer, decompile or attempt to extract the source code of the Service.
• Not use scraping techniques, bots, spiders or other automated means to extract data from the Service without prior written authorisation.
• Not use the Service to send spam, unsolicited communications or unauthorised advertising content.

Failure to comply with these obligations may result in immediate suspension or termination of your account.

All rights, title and interest in the Cotti Service, including but not limited to its source code, design, user interface, logos, trademarks, trade names, text, graphics, images, software, algorithms and any other content provided by us (hereinafter, "Cotti Content"), are the exclusive property of SideOps AI S.A.S or its licensors, and are protected by applicable intellectual property laws.

By using the Service, you retain all rights to the data and content you generate through Cotti (hereinafter, "User Content"), including your quotations, product catalogues and customer data. You grant us a limited, non-exclusive, royalty-free and revocable licence to use, store and process such User Content solely for the purpose of providing you the Service.

You may not copy, modify, distribute, sell, rent, lend or create derivative works of Cotti Content without our prior written consent.

Cotti may offer free and paid plans. The specific terms of each plan, including prices, included features, usage limits and duration, are detailed on the Service's pricing page or in the corresponding offer communication.

For paid plans:

• Charges are billed in advance according to the selected billing cycle (monthly or annual).
• All fees are expressed in the currency indicated and do not include applicable taxes, which will be added when required.
• The User is responsible for providing complete and accurate billing information.
• We reserve the right to modify plan prices with at least 30 days' prior notice. Price changes will not affect the current paid billing period.

Refund requests will be evaluated on a case-by-case basis in accordance with our current commercial policy and applicable law.

To the maximum extent permitted by applicable law, SideOps AI S.A.S, its directors, employees, agents and affiliates shall not be liable for direct, indirect, incidental, special, consequential or punitive damages, including but not limited to loss of profits, data, use, goodwill or other intangible losses resulting from:

• The use or inability to use the Service.
• Any third-party conduct or content on the Service.
• Unauthorised access, alteration or loss of your data.
• Any error, omission or inaccuracy in quotations generated through the Service.

Our total liability, if found, shall not exceed the amount you paid us during the six (6) months prior to the event giving rise to the claim.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OR UNINTERRUPTED AVAILABILITY.

We do not warrant that:

• The Service will operate uninterrupted, securely or error-free.
• The results obtained from using the Service will be accurate, complete or reliable.
• Any errors in the Service will be corrected.

You use the Service at your own risk and discretion.

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, under the following circumstances:

• Breach of any provision of these Terms.
• Request by legal or judicial authorities.
• Cessation of our commercial offering or discontinuation of the Service.
• Failure to pay applicable fees within the established deadlines.
• Conduct we deem harmful to other users, third parties or Cotti.

You may cancel your account at any time from the application settings or by contacting us. Upon termination, your right to use the Service ceases immediately. We will retain your data as set forth in our Privacy Policy.

We reserve the right to modify or replace these Terms at any time. Modifications will take effect on the date of their publication on the Service. For substantial changes, we will make reasonable efforts to notify you through the Service or by email at least 15 days in advance.

Your continued use of the Service after the new Terms take effect constitutes your acceptance of them. If you do not agree with the new Terms, you must stop using the Service.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Colombia, without regard to its conflict of law provisions.

Any dispute, controversy or claim arising out of or relating to these Terms, including their interpretation, validity, breach or termination, shall be submitted in the first instance to a good faith mediation process between the parties. If no agreement is reached within 30 days, the parties shall submit to the exclusive jurisdiction of the competent courts of Medellin, Colombia.

For users residing in the European Union, nothing in these Terms affects your rights as a consumer under the applicable legislation of your country of residence.

Entire Agreement: These Terms, together with our Privacy Policy and any applicable data processing agreement, constitute the entire agreement between you and Cotti regarding the Service and supersede any prior agreements.

Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver: Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition or sale of assets without your consent.
